These Terms and Conditions, in conjunction with RockWallet’s Terms and Conditions (Terms of Service), RockWallet’s General Risk and Disclosure Policy (General Risk Disclosure Policy), and RockWallet’s Privacy Policy (Privacy Policy), govern your participation in the RockWallet’s Promotional Giveaway 2025 (“Promotion”) offered by RockWallet (“Company,” “we,” “us,” or “our”), a Delaware Corporation with registered address at 1000 North West Street, Suite 1200, Wilmington, DE 1980. By participating in this Promotion, you (“Participant,” “you,” or “your”) agree to be bound by these Terms and Conditions in their entirety.
Promotion Overview
The Company is offering eligible participants a promotional reward of $75 United States Dollars (USD) worth of Litecoin (“LTC”) (“Reward”) for completing their first qualifying cryptocurrency purchase (via card or ACH) or cryptocurrency swap through our digital wallet application (“App”). This Promotion represents an opportunity for new users to experience our platform while familiarizing themselves with cryptocurrency trading.
Promotion Period
The Promotion begins on February 1, 2025 at 9:00 AM EST and continues through April 30, 2025, at 11:59 PM EST. The Company maintains the right to modify the duration of this Promotion, including extending or shortening the promotional period, or to suspend or terminate the Promotion at any time at its sole discretion.
Eligibility Requirements
Basic Requirements
To participate in this Promotion, you must be a natural person at least 18 years of age (or the age of majority in your jurisdiction) and a legal resident of an eligible jurisdiction. You must possess the legal capacity to enter into binding contracts and must not be subject to any sanctions or restrictions that would prevent your participation.
Account Requirements
The Promotion is open only to users who have not previously completed any transactions on our platform.
Eligible Jurisdictions
The Promotion is limited to supported states within the United States. These include Alabama, Arizona, Arkansas, California, Colorado, Connecticut, Delaware, District of Columbia, Florida, Georgia, Hawaii, Idaho, Illinois, Indiana, Iowa, Kansas, Maine, Maryland, Massachusetts, Michigan, Mississippi, Missouri, Montana, Nebraska, New Hampshire, New Jersey, New Mexico, North Carolina, Ohio, Oklahoma, Oregon, Pennsylvania, Rhode Island, South Carolina, South Dakota, Tennessee, Texas, Utah, Virginia, West Virginia, Wisconsin, and Wyoming. Exclusions
Certain individuals are not eligible to participate in this Promotion, including individuals who have previously made transactions on the Company’s platform under a different account, residents of prohibited jurisdictions, and individuals subject to financial sanctions.
Verification Process
Participation in this Promotion requires successful completion of our verification process. You must provide valid government-issued identification, and any other additional documentation required by the Company. The Company reserves the right to put a hold on your account and to conduct additional verification measures. These measures are designed to ensure compliance with applicable laws and regulations and to maintain the integrity of our platform.
Qualifying Transaction Requirements
To have a successful transaction under this Promotion, the following steps must be taken, in order, within the Promotional Period:
1. Provide your RockWallet account email in the form located on the giveaway landing page (rockwallet.com/welcome/unchained)
2. Download our App
3. Create an account (or use an existing account that has not made a purchase or swap before)
4. Complete the account registration process, including all required Know Your Customer (KYC) and Anti-Money Laundering (AML) verification steps.
5. Complete a transaction with a minimum value of $50 USD. A 'transaction' is any purchase or swap of supported RockWallet cryptocurrencies within the app. This transaction must be confirmed, comply with all Platform trading rules, and cannot be reversed, canceled, or deemed fraudulent.
Excluded Transactions
Certain types of transactions do not qualify for this Promotion, including but not limited to transfers between wallets, failed or incomplete transactions, test transactions, and transactions including prohibited cryptocurrencies.
Reward Distribution
Upon verification of your qualifying transaction, the Company will credit your account with $75 USD in LTC. The exact amount of cryptocurrency awarded will be calculated based on the prevailing market rate at the time of distribution. Distribution will occur within 90 business days of transaction verification, provided all verification requirements have been met and there are no pending compliance reviews or investigations.
Taxes
It is important to remember that the Reward may be subject to taxes in your jurisdiction. It is recommended that you consult with a tax professional to determine the exact tax implications of receiving the Reward. Additionally, you are responsible for reporting any income earned. Failure to do so may result in penalties or fines from your local tax authorities.
Amendment
The Company may amend the terms of this Promotion at any time in its sole discretion. Changes may include, but are not limited to, the content of the Promotion, the process for earning the Reward, eligibility of any users, eligible jurisdictions, or the timing and distribution process for the Reward. Such changes shall be effective immediately upon posting to RockWallet’s website and shall apply to all RockWallet users.
